PPMP Ready LLC
These Terms are in effect as of the Effective date below. Not a substitute for legal advice; we may update them.
PPMP Ready Terms of Service
Effective date: October 7, 2026 Last updated: October 15, 2026
These Terms of Service ("Terms") are a legal agreement between PPMP Ready LLC, a Wyoming limited liability company ("PPMP Ready", "we", "us" or "our"), and the firm or other organization that signs up for or uses our services ("Customer" or "you"). They cover:
- our website at ppmpready.com (the "Site"), and
- our software-as-a-service application at app.ppmpready.com, including the PACE CPD planning module (together, the "Service").
By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you accept on behalf of a firm, you confirm that you have the authority to bind that firm. If you do not agree, do not use the Service.
Our Privacy Policy explains how we handle personal information. It forms part of these Terms.
1. Important: what PPMP Ready is, and what it isn't
Please read this section carefully.
- No regulator endorsement. PPMP Ready is an independent company. No engineering or geoscience regulator, including APEGA, EGBC, PEO, Engineers Canada or APEGS, endorses, approves, certifies or is affiliated with PPMP Ready. EGBC does not endorse external PPMP services. We refer to regulators and their requirements only to describe what the Service helps you prepare for.
- A preparation tool, not a certification. The Service helps you prepare and maintain your Professional Practice Management Plan (PPMP). It does not certify, approve or guarantee that your PPMP or your practice complies with any regulator's requirements. A score, scorecard or gap list from the Service is not a regulator's determination.
- You stay responsible. Your firm and its members remain fully responsible for their own professional, ethical, legal and regulatory obligations. This includes the content and implementation of the PPMP, and responses to regulators.
- Not professional advice. The Service does not provide legal, engineering, geoscience, accounting or tax advice. It does not replace the judgment of qualified professionals or the guidance of your regulator.
- Grants. The Canada-Alberta Productivity Grant (CAPG) helper only helps you prepare application materials. Eligibility and approval are decided solely by the responsible Ministry. We do not guarantee that any application will be approved or funded.
2. Definitions
- "Customer Content" means documents, data and other material that you or your Users upload to or create in the Service. This includes PPMP documents, staff information, acknowledgment and sign-off records, action log entries, resumes (including LinkedIn profiles saved as files), CPD Activities log entries and evidence, PACE plans, and CAPG information.
- "Output" means scorecards, gap lists, profiles, recommendations, course suggestions and other results that the Service generates from Customer Content, including results produced with AI.
- "Requirement Pack" means our summary and interpretation of a regulator's published PPMP or practice requirements, used by the Service to analyze documents.
- "User" means an individual whom you authorize to use the Service under your account, such as employees who use PACE seats or complete acknowledgments.
- "Order" means a checkout, quote, order form or plan selection that states the services and fees you have purchased.
3. The Service
3.1 What's included
Depending on your plan, the Service may include:
- PPMP analysis: upload of PPMP documents and AI analysis against Requirement Packs (for example APEGA, EGBC, PEO, Engineers Canada and APEGS), with a scorecard and gap list;
- Regulatory alerts: notices about changes to regulator requirements that we track;
- Employee acknowledgments and sign-offs: tools for requesting and recording staff acknowledgment of PPMP documents;
- Action log: a record of tasks and remediation steps;
- PACE: CPD planning, including resume reading from uploaded files, a course finder, a CPD Activities log, and the CAPG helper; and
- Setup and gap review: one-time onboarding and review services, as described in your Order.
The app does not connect to LinkedIn or use LinkedIn's API. PACE reads only files that Users upload themselves. The Site uses the LinkedIn Insight Tag to measure our ads, as described in our Privacy Policy.
3.2 Requirement Packs and alerts
We work to keep Requirement Packs and regulatory alerts accurate and current, but regulators can change their requirements at any time. Requirement Packs are our interpretation, not official regulator documents. Always check the regulator's current published requirements. We do not promise that alerts will catch every change or arrive by a particular time.
3.3 AI features and Output
Some features use third-party AI providers, currently Anthropic and Google, as described in our Privacy Policy. AI resume reading in PACE is off unless your firm's administrator turns it on. AI Output may be incomplete, inaccurate or inconsistent, and the same input may give different results at different times. A qualified person at your firm should review all Output before relying on it. You are responsible for the decisions you make based on Output.
3.4 Changes to the Service
We may improve, change or discontinue features. If we remove a material feature you have paid for, we will give you reasonable notice.
3.5 Third-party services
The Service relies on third-party providers, including Supabase (database, file storage and authentication), Vercel (web hosting), Resend (email), Stripe (payments) and AI providers. Course listings in the course finder may link to third-party training providers. We are not responsible for third-party services, courses or websites, and your use of them may be subject to their own terms.
4. Accounts and Users
- You must give accurate account information and keep it up to date.
- You are responsible for all activity under your account, and for your Users' compliance with these Terms.
- Keep your login credentials confidential. Tell us right away through the contact form on ppmpready.com if you suspect unauthorized access.
- The Service is for business and professional use. Users must be at least 18 years old.
- Each PACE seat is for one named individual and may not be shared. Contact us if you need to reassign a seat.
5. Customer Content
5.1 You own your content
As between you and us, you own your Customer Content. You also own the Output generated from it, to the extent the law allows. We claim no ownership of either.
5.2 Permission you give us
You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit and display Customer Content, and to share it with our service providers (including AI providers), only as needed to provide, secure, support and improve the Service and as described in our Privacy Policy. We do not use Customer Content to train our own AI models.
We may create and use aggregated or de-identified data that does not identify you, your firm or any individual, for example to improve the Service and our Requirement Packs.
5.3 Your responsibilities
You confirm that:
- you have all the rights, notices and consents needed to upload Customer Content and let us process it, including personal information about your employees and other individuals (for example in PPMP documents, staff lists and acknowledgment records), as required by PIPEDA, Alberta PIPA, BC PIPA and other applicable laws;
- Customer Content does not infringe anyone's rights or break any law; and
- you will not upload information the Service is not designed for, such as health information, Social Insurance Numbers, or banking or payment card details, except through our payment processor.
Users who upload their own resume to PACE confirm that they have the right to do so. A User's resume file is visible only to that User, not to the Customer. A User controls whether the Customer can see their PACE plan content and evidence, as described in our Privacy Policy.
5.4 Export and deletion
While your subscription is active, you can export Customer Content using the export tools in the Service, or ask us for an export through the contact form. After your subscription ends, you can still ask us for an export for a reasonable period. After that, we will delete Customer Content as described in our Privacy Policy, except where the law requires us to keep it. Users can delete their own resume file at any time.
6. Acceptable use
You and your Users must not:
- use the Service for an illegal purpose, or in a way that infringes others' rights;
- represent, or let anyone represent, that PPMP Ready or any Output is approved, certified or endorsed by a regulator, or that a PPMP has been certified by us;
- try to gain unauthorized access to the Service or other customers' data, or probe, scan or test its vulnerabilities without our written permission;
- interfere with or disrupt the Service, or overload it, including through automated scraping or excessive requests;
- reverse engineer, copy or resell the Service or our Requirement Packs, or use them to build a competing product, except as the law expressly allows;
- upload malware or harmful code; or
- share login credentials or PACE seats.
7. Fees and payment
7.1 Prices
All prices are in Canadian dollars (CAD), plus applicable taxes (see Section 7.2). Current plans:
| Service | Price |
|---|---|
| PACE (seats for licensed engineers and geoscientists only) | $99 per seat per year for 1–9 seats; $79 per seat per year for 10–49 seats; $59 per seat per year for 50 or more seats. The tier is set by your total number of seats and applies to every seat. |
| Maintenance: monthly | By company size: $197 per month (1–20 employees), $497 per month (21–50 employees) or $997 per month (51–200 employees). For 201 or more employees, as stated in your Order. |
| Maintenance: annual | Paid upfront at 10 times the monthly price, which works out to 2 months free: $1,970 per year (1–20 employees), $4,970 per year (21–50 employees) or $9,970 per year (51–200 employees). |
| Setup | One-time fee, as stated in your Order |
| Gap review | One-time fee, as stated in your Order |
Founding offer. Customers who sign up under our founding offer purchase Setup only, as stated in the offer and your Order. The founding offer does not include free PACE seats.
7.2 Taxes
Prices do not include taxes. Applicable Canadian sales taxes, such as GST, HST and PST, may be added to your invoice depending on your location. You are responsible for all applicable taxes other than taxes on our income.
7.3 How you pay
- Payment is by credit card only, processed by our payment processor, Stripe. We do not accept cheques.
- One-time fees are charged when you place your Order.
- Subscriptions are billed in advance at the start of each billing period (monthly or yearly).
7.4 Automatic renewal
Subscriptions renew automatically for the same billing period at the then-current price unless you cancel before the renewal date. You authorize us, through Stripe, to charge your card on file for each renewal. We will send you a reminder before each annual renewal.
7.5 Failed payments
If a payment fails, we will notify you and may retry the charge. If payment is still outstanding after we notify you, we may suspend the Service until payment is made.
7.6 Price changes
We may change our prices. Changes apply from your next renewal. We will give you advance notice by email, and you may cancel before the change takes effect.
8. Refunds
All fees are non-refundable, except in the two situations described below. This includes one-time setup and gap review fees, subscription fees, and fees for unused time or unused seats.
8.1 Billing errors
If we charge you in error, we will correct it and refund the amount charged in error. Examples include charging the wrong amount, charging twice, or charging for the wrong billing period, such as monthly instead of yearly. To be eligible, you must tell us through the contact form on ppmpready.com promptly after the charge, with enough detail for us to identify it. We will refund the original card promptly after confirming the error. Alternatively, with your agreement, we will apply the correct charge and refund the difference.
8.2 Audit Guarantee
We stand behind our recommendations. If your firm fails a regulator audit of its PPMP after following PPMP Ready's recommendations, we will refund the Eligible Fees described below, as long as all of the following conditions are met:
- Covered audit. The audit is a formal audit or practice review of your firm's PPMP conducted by an engineering or geoscience regulator covered by a Requirement Pack in your plan (for example APEGA or EGBC).
- Failure. "Fail" means that the regulator issues a written finding that your PPMP does not meet its requirements.
- Good standing. Your subscription was active and paid up when the PPMP was submitted to the regulator and when the audit took place.
- Recommendations followed. Before submitting the PPMP for the audit, you addressed every item in the most recent gap list for the relevant Requirement Pack. You must also have adopted and implemented the PPMP in the form reviewed by the Service, without material changes made after our most recent analysis.
- Complete information. The documents and information you gave the Service were complete and accurate, and you did not leave out information relevant to the audit.
- Cause. The deficiency found by the regulator relates to the content of the PPMP that the Service analyzed, not to matters outside the Service. Examples of matters outside the Service include how your firm actually carries out its practice, the conduct of individual members, missed deadlines, fees owed to the regulator, or requirements that the regulator introduced or changed after our most recent analysis and before submission, where we had not yet published an updated Requirement Pack.
- Notice. You notify us in writing through the contact form on ppmpready.com promptly after receiving the regulator's written finding. Your notice must include a copy of the finding and the related correspondence, the PPMP version submitted, and anything else we reasonably ask for to verify the claim.
- Cooperation. You give us reasonable cooperation in reviewing the claim.
Eligible Fees means the setup fee, gap review fee and maintenance fees you paid for the 12 months before the audit, excluding taxes and excluding PACE fees.
We will review each claim and tell you our decision within a reasonable time after receiving a complete notice. Approved refunds are paid to the original card. The Audit Guarantee is limited to one claim per firm per 12-month period. It is your sole and exclusive remedy relating to the outcome of a regulator audit. Paying a refund is not an admission of liability.
The Audit Guarantee does not mean that PPMP Ready certifies your PPMP, or that any regulator approves the Service. See Section 1.
9. Term, cancellation and termination
- Term. These Terms apply from when you first use the Service until all your subscriptions end and your account is closed.
- Cancelling. You can cancel a subscription at any time by contacting us through the contact form on ppmpready.com. Cancellation stops future renewals. You keep access until the end of the current paid period. There are no refunds or credits for partial periods, except as described in Section 8.
- Suspension. We may suspend access immediately if we reasonably believe there is a security risk, a serious breach of these Terms, or non-payment, as described in Section 7.5. Where practical, we will give you notice and a chance to fix the problem.
- Termination by us. We may terminate these Terms if you materially breach them and do not fix the breach within 30 days of our notice. We may also end the Service for convenience with at least 30 days' notice. In that case, we will refund any prepaid fees for the unused part of your subscription period.
- After termination. Your right to use the Service ends. Section 5.4 explains how to export your data. Sections 1, 2, 5.4, 8 (for claims arising before termination), and 10 through 16 survive termination.
10. Our intellectual property
We, and our licensors, own the Service, the Site, Requirement Packs, software, designs and content, and all related intellectual property, other than Customer Content. These Terms do not transfer any ownership to you. Subject to these Terms, we give you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription.
If you send us feedback or suggestions, we may use them freely and without any obligation to you.
"PPMP Ready" and our logos are our trademarks. Names of regulators and other organizations belong to their owners and are used only to identify them. Their use does not imply endorsement.
11. Confidentiality
Each party will protect the other party's non-public information, including your Customer Content and our non-public product and pricing information, with reasonable care. Each party will use that information only to perform under these Terms. This does not apply to information that is public, was already known to the recipient, is independently developed, or is lawfully received from someone else. Either party may disclose confidential information if the law requires, with notice to the other party where the law allows.
12. Disclaimers
To the fullest extent the law allows, the Service, Requirement Packs, alerts and Output are provided "as is" and "as available". Except as expressly stated in these Terms, including the Audit Guarantee, we make no warranties or conditions of any kind, whether express, implied or statutory. This includes any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted availability.
Without limiting Section 1, we do not warrant that use of the Service will result in regulatory compliance, a passed audit, a grant approval or any other particular outcome.
13. Limitation of liability
To the fullest extent the law allows:
- Neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business or data, even if told that they were possible.
- Our total liability for all claims relating to the Service or these Terms will not exceed the fees you paid us in the 12 months before the event giving rise to the claim.
- These limits do not apply to your payment obligations, your breach of Section 6, or your indemnity under Section 14. They also do not apply to liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify PPMP Ready and its members, managers, employees and contractors against third-party claims, and against related losses and reasonable legal fees, arising from:
- your Customer Content, including any claim that you lacked the rights or consents needed to upload it;
- your breach of these Terms or of the law; or
- your firm's professional practice, PPMP and dealings with regulators.
15. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, and applicable US federal law, without regard to conflict-of-laws rules. The courts located in Wyoming have exclusive jurisdiction, and each party agrees to the jurisdiction of those courts.
Before starting any formal proceeding, each party agrees to try in good faith to resolve the dispute informally for at least 30 days after written notice.
Nothing in this section limits any rights you may have that cannot be waived under applicable law.
16. General
- Changes to these Terms. We may update these Terms. For material changes, we will notify you by email or in the Service before they take effect. If you keep using the Service after that date, you accept the updated Terms. If you do not agree, you may cancel before the changes take effect.
- Notices. We will send notices to the email address on your account. You may send notices to us through the contact form on ppmpready.com. Our mailing address for written notices is available on request through the same form.
- Assignment. You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition or sale of all or substantially all of our assets.
- Force majeure. Neither party is responsible for delays or failures caused by events beyond its reasonable control, except for payment obligations.
- Independent parties. These Terms do not create a partnership, agency or employment relationship.
- Entire agreement. These Terms, the Privacy Policy and any Order make up the entire agreement between us about the Service. If they conflict, the Order controls, then these Terms, then the Privacy Policy.
- Severability and waiver. If any provision is found unenforceable, the rest stays in effect. Failing to enforce a provision is not a waiver of it.
- Language. These Terms are written in English. The parties have expressly required that these Terms and all related documents be drawn up in English. Les parties ont expressément exigé que la présente convention et tous les documents connexes soient rédigés en anglais.
